Zarząd Investment Friends SE kod rejestru: 14617862 z siedzibą w Narva mnt 5, 10117 Tallinn w Estonii informuje, że w dniu 14.05.2019r. podpisał Aneks do umowy pożyczki zawartej w 26.10.2017r. z PATRO INVEST Sp.z o.o. w Płocku _KRS KRS 0000657016_, o której podpisaniu Spółka poinformowała w trybie raportu bieżącego ESPI nr 67/2017 z dnia 26 października 2017 roku. Mocą aneksu z dnia 14.05.2019 roku zwiększona została kwota pożyczki o 250 000,00 zł _dwieście pięćdziesiąt tysięcy złotych_. Dodatkowa kwota pożyczki została wpłacona na konto spółki Patro Invest Sp.z o.o. w dniu podpisania aneksu tj. dnia 14.05.2019r. W związku z podpisaniem aneksu w dniu 14.05.2019 roku łączna kwota wypłaconej pożyczki dla spółki Patro Invest Sp. z o.o. wynosi 3 650 000,00 zł _trzy miliony sześćset pięćdziesiąt tysięcy złotych_.
Oprocentowanie kwoty pożyczki zostało ustalone na poziomie 5,2 % w skali roku. Odsetki płatne będą wraz ze zwrotem kwoty pożyczki. Spłata pożyczki została zabezpieczona przez pożyczkobiorcę poprzez wystawienie weksla in blanco wraz deklaracją na rzecz Emitenta. Umowa nie została zawarta z zastrzeżeniem warunku lub terminu. Emitent jest uprawniony do żądania zwrotu całej kwoty pożyczki niezwłocznie w przypadku złego stanu majątkowego Pożyczkobiorcy.
Emitent informuje, również, że pomiędzy Emitentem a spółką PATRO INVEST Sp. z o.o. zachodzą powiązania osobowe oraz kapitałowe. Prezes Zarządu PATRO INVEST Sp. z o.o. jednocześnie pełni funkcję w Radzie Nadzorczej Emitenta.The Management Board of Investment Friends SE headquartered in Narva mnt 5, 10117 Tallinn, Estonia, registry code: 14617862, informs that on 14/05/2019 the Company signed an Annex to the loan agreement concluded on 26/10/2017 with PATRO INVEST Sp. z o. o. headquartered in Płock _KRS no 0000657016_ that was reported by the Company in the current report ESPI no 67/2017 of 26 October 2017. Under the Annex of 14/05/2019, value of the loan was increased by the amount of PLN 250.000,00 _two hundred fifty thousand zlotys_. Additional amount of the loan was paid to the bank account of Patro Invest Sp. z o. o. on the date on the Annex’s conclusion, i.e. 14/05/2019. After conclusion of the Annex of 14/05/2019 total amount of the loan paid out for Patro Invest Sp. z o. o. is PLN 3.650.000,00 _three million six hundred fifty thousand zlotys_. Interest rate of the loan was established as 5,2% per year. Interest will be paid along with the loan amount repayment. Repayment of the loan was secured by the Borrower with blank promissory note along with declaration to the promissory note issued for the Issuer. The agreement has no reservation concerning any conditions or deadlines. The Issuer is authorized to demand repayment of the entire loan immediately in case of poor financial situation of the Borrower. The Issuer informs also that there are personal and capital links between the Issuer and Patro Invest Sp. z o. o. Chairman of the Management .
