Zarząd Investment Friends SE kod rejestru: 14617862 z siedzibą w Narva mnt 5, 10117 Tallinn w Estonii informuje, że w dniu 02.04.2019r. podpisał Aneks do umowy pożyczki zawartej w 26.10.2017r. PATRO INVEST Sp.z o.o. w Płocku _KRS KRS 0000657016_, o której podpisaniu Spółka poinformowała w trybie raportu bieżącego ESPI nr 67/2017 z dnia 26 października 2017 roku. Mocą aneksu z dnia 02.04.2019 roku zwiększona została kwota pożyczki o 800 000,00 zł _ osiemset tysięcy złotych_. Dodatkowa kwota pożyczki została wpłacona na konto spółki Patro Invest Sp.z o.o. w dniu podpisania aneksu tj. dnia 02.04.2019r. W związku z podpisaniem aneksu w dniu 02.04.2019 roku łączna kwota wypłaconej pożyczki dla spółki Patro Invest Sp. z o.o. wynosi 3 400 000,00 zł _trzy miliony czterysta tysięcy złotych_.
Oprocentowanie kwoty pożyczki zostało ustalone na poziomie 5,2 % w skali roku. Odsetki płatne będą wraz ze zwrotem kwoty pożyczki. Spłata pożyczki została zabezpieczona przez pożyczkobiorcę poprzez wystawienie weksla in blanco wraz deklaracją na rzecz Emitenta. Umowa nie została zawarta z zastrzeżeniem warunku lub terminu. Emitent jest uprawniony do żądania zwrotu całej kwoty pożyczki niezwłocznie w przypadku złego stanu majątkowego Pożyczkobiorcy.
Emitent informuje, również, że pomiędzy Emitentem a spółką PATRO INVEST Sp. z o.o. zachodzą powiązania osobowe oraz kapitałowe. Prezes Zarządu PATRO INVEST Sp. z o.o. jednocześnie pełni funkcję w Radzie Nadzorczej Emitenta.The Management Board of Inevstment Friends SE, registry code: 14617862, registered address: Narva mnt 5, 10117 Tallinn, Estonia, informs that on 02.04.2019 the Issuer concluded an Annex to the loan agreement of 26.10.2017 with Patro Invest Sp. z o. o. headquartered in Płock _KRS no. 0000657016_. The loan agreement was reported by the Issuer in the current report no. 67/2017 on 26.10.2017. Under the Annex of 02.04.2019 the amount of the loan was increased by PLN 800.000,00 _eight hundred thousand zlotys_. Additional amount of the loan was paid to the bank account of Patro Invest Sp. z o. o. at the date of the annex signing, i.e. 02.04.2019. Therefore, the total amount of the loan that have been paid to Patro Invest Sp. z o. o. is PLN 3.400.000,00 _three million four hundred thousand zlotys_.
Established interest rate for the loan is 5,2% per year. Interest shall be paid along with repayment of the loan amount. Repayment of the loan is secured by the Borrower who issued a blank promissory note and a promissory note declaration for the Issuer. The agreement has no reservations concerning any conditions or deadlines. The Issuer is entitled to demand repayment of the total amount of the loan in case of unstable financial situation of the Borrower.
The Issuer informs also, that there are personal and capital links between the Issuer and Patro Invest Sp. z o. o. The Chariman of the Management Board of Patro Invest Sp. z o. o. is also a member of the Issuer’s Supervisory Board.
