Zarząd Investment Friends SE _ dalej “Cedent”_ kod rejestru: 14617862 z siedzibą w Narva mnt 5, 10117 Tallinn w Estonii informuje, że w dniu 01.04.2019 roku zawarł z osobą fizyczną _dalej “Cesjonariusz”_ przedwstępną umowę cesji, przedmiotem której jest przeniesienie na rzecz Cesjonariusza pakietu wierzytelności składającego się z pożyczki udzielonej spółce Top Marka S.A.
z siedzibą w Poznaniu w dniu 7 listopada 2014 roku wraz z posiadanymi zabezpieczeniami, o udzieleniu której Emitent informował raportem bieżącym nr 141/2014. Termin zwrotu pożyczki z dnia 7 listopada 2014 r. upłynął 31 marca 2016 roku.
Łączna wartość nominalna wierzytelności _ kapitał + odsetki_ wynosi 1 343 288,55 zł _jeden milion trzysta czterdzieści trzy tysiące dwieście osiemdziesiąt osiem złotych 55/100_, natomiast cena sprzedaży wyniosła 379 000,00 zł _ trzysta siedemdziesiąt dziewięć tysięcy_.
Niniejsza umowa została zawarta pod warunkiem zawieszającym dokonania przez Cesjonariusza na rzecz Cedenta, całości płatności ceny nie później niż do dnia 31 lipca 2019 roku.The Management Board of Investment Friends SE _hereinafter “Assignor”_, registry code: 14617862, headquartered at Narva mnt 5, 10117 Tallinn, Estonia informs that on April 1, 2019 the Issuer concluded with a natural person _hereinafter “Assignee”_ a preliminary assignment agreement whose object is a transfer of the debts package that consists of the loan granted on 7 November 2014 to TOP MARKA S.A. headquartered in Poznań, along with owned securities. Giving aforementioned loan to TOP MARKA S.A. was reported by the Issuer in the current report no 141/2014. Deadline for repayment of the loan of 7 November 2014 expired on 31 March 2016.
Total nominal value of the debts _principal + interest_ is PLN 1.343.288,55 _one million three hundred forty-three thousand two hundred eighty-eight zlotys 55/100_, while the sales price was PLN 379.000,00 _three hundred seventy-nine thousand zlotys_.
This agreement was concluded under a condition precedent that the Assignee makes the full payment of the sales price for the Assignor until 31 July 2019 at latest.
